1.1The Legal Clarity Session (the “Session”) is a paid, structured legal session offered by the Zulueta Law Office (the “Firm”), a Philippine law office founded in June 1983 by Atty. Gilbert P. Zulueta (+) and continued and expanded by Atty. Alysha Grace M. Zulueta. The Session is designed to give the Client clarity and direction on the Client’s legal situation before any formal engagement.
1.2Each Session is conducted online via Zoho Meeting and runs for up to sixty (60) minutes. During the Session, the Client may expect (a) a review of the situation, (b) identification of legal risks, (c) clear recommendations, and (d) a discussion of the next-step roadmap.
1.3The Legal Clarity Session is intended for serious founders and business owners who are decision-makers ready to act and who want clarity, not just information. It is offered as the entry point to the legal ecosystem composed of Zulueta Law Office, Legally Clicked, and the Family Legacy Maker Academy.
1.4The Session is expressly NOT intended for: (a) those seeking free advice; (b) those who are not ready to implement recommendations; or (c) those who have unstructured and vague inquiries unrelated to a concrete business or legal situation. The Firm reserves the right to decline or terminate any Session that falls within these categories.
2.1Bookings are confirmed only upon full payment of the Session fee through the Firm’s designated payment channels. Reservations without payment are not guaranteed.
2.2All fees are stated in Philippine Pesos (PHP) and are inclusive of applicable taxes unless otherwise indicated. The Session fee covers the up-to-sixty-minute Session only and does not include subsequent legal services, document drafting, or representation.
2.3Upon successful payment, the Client shall receive a booking confirmation by email containing the schedule and the Zoho Meeting link. The Client is responsible for providing accurate contact details at the time of booking. The Firm shall not be liable for missed Sessions caused by incorrect or outdated Client information.
2.4The Client may be requested, prior to the Session, to submit a brief intake form or relevant background documents to enable the Firm to prepare and to maximize the value of the Session.
3.1Rescheduling. The Client may reschedule a confirmed booking, free of charge, by giving written notice at least forty-eight (48) hours before the scheduled Session. Rescheduling requests made within forty-eight (48) hours may be accommodated subject to availability and may incur an administrative fee.
3.2Cancellation by the Client. Cancellations made at least seventy-two (72) hours before the Session shall be entitled to a full refund, less applicable payment-processing charges. Cancellations made within seventy-two (72) hours but more than twenty-four (24) hours before the Session shall be entitled to a fifty percent (50%) refund. Cancellations made within twenty-four (24) hours of the scheduled time, and “no-shows,” shall not be entitled to any refund.
3.3Cancellation by the Firm. If the Firm cancels or is unable to proceed with a Session for any reason, the Client shall be entitled, at the Client’s option, to (a) reschedule at no additional cost, or (b) a full refund of the Session fee.
3.4Force Majeure. Neither party shall be liable for delays or failure to perform caused by events beyond their reasonable control, including but not limited to natural disasters, power or internet outages, government action, or public health emergencies. In such cases, the Session shall be rescheduled in good faith.
4.1The Legal Clarity Session is a clarity and direction-setting session. It is not, by itself, a full legal engagement, court representation, or document-drafting service. A Session does not create a continuing attorney-client relationship between the Client and the Firm beyond the duration of the booked Session.
4.2An attorney-client relationship for purposes of representation, court filing, drafting of contracts or pleadings, ongoing legal advisory, or any further legal work shall arise only upon (a) execution of a separate Engagement Agreement, and (b) payment of the corresponding professional fees. The Client understands that engagement on subsequent matters is subject to conflict-of-interest checking and the Firm’s acceptance.
4.3Information, opinions, and recommendations given during a Session are based solely on the facts disclosed by the Client during the Session and any pre-Session intake materials. The Firm does not undertake independent fact-verification within the scope of the Session and shall not be liable for opinions rendered on the basis of incomplete, inaccurate, or misleading information provided by the Client.
4.4Nothing in a Session shall be construed as a guarantee or assurance of any particular legal outcome. The Client acknowledges that legal results depend on facts, evidence, applicable law, and forum, and that the Firm makes no warranty as to result.
5.1All communications between the Client and the consulting attorney during a Session, as well as documents shared in connection therewith, shall be treated as confidential and protected by the attorney-client privilege under Philippine law and the Code of Professional Responsibility and Accountability.
5.2The Client shall likewise maintain the confidentiality of any opinion, document, template, framework, roadmap, or other material provided by the Firm during or after the Session, and shall not reproduce, publish, or disseminate the same without the Firm’s prior written consent.
5.3The Firm reserves the right to decline a Session if a conflict of interest exists or arises with an existing or former client. In such case, the Session fee shall be fully refunded.
6.1The Firm is a Personal Information Controller within the meaning of Republic Act No. 10173 (Data Privacy Act of 2012), its Implementing Rules and Regulations, and relevant issuances of the National Privacy Commission.
6.2Personal data collected during booking and the Session—including the Client’s name, contact details, billing information, business details, and information shared during the Session—shall be processed solely for the purposes of (a) providing the Legal Clarity Session, (b) complying with legal and regulatory obligations, (c) maintaining client records, and (d) communicating with the Client regarding the Session and any subsequent engagement.
6.3The Firm implements reasonable organizational, physical, and technical security measures to protect personal data from unauthorized access, disclosure, alteration, or destruction. Where the Firm uses third-party platforms (such as Zoho Meeting and the Firm’s payment processor), such platforms are bound by their own privacy and security commitments.
6.4The Client may exercise rights under the Data Privacy Act, including the rights to access, rectification, erasure, objection, and data portability, by sending a written request to the Firm’s designated Data Protection Officer at the contact details provided in Section 14.
7.1Sessions shall not be recorded, screen-captured, transcribed, or shared with any third party by either party without the prior written consent of the other. Unauthorized recording is a serious breach of these Terms and may give rise to civil and criminal liability under Republic Act No. 4200 (Anti-Wiretapping Law) and other applicable laws.
7.2The Client is responsible for ensuring (a) a stable internet connection, (b) a functioning device with camera and microphone compatible with Zoho Meeting, and (c) a private location suitable for confidential discussion. The Firm shall not be liable for technical difficulties on the Client’s end that result in shortened or missed Sessions.
7.3If technical issues on the Firm’s end materially disrupt a Session, the Firm shall, at the Client’s option, extend the Session to make up for lost time, reschedule, or refund a proportionate amount of the fee.
8.1The Client agrees to behave courteously and professionally during the Session. The Firm reserves the right to terminate any Session—without refund—where the Client engages in abusive, threatening, harassing, or unlawful conduct, or where the Client appears to be under the influence of alcohol or prohibited substances.
8.2The Client warrants that the Legal Clarity Session shall not be used for any unlawful purpose, including the procurement of advice to commit a crime or to perpetrate fraud.
9.1To the fullest extent permitted by law, the aggregate liability of the Firm, its partners, attorneys, and staff arising out of or in connection with a Legal Clarity Session shall not exceed the amount of the Session fee actually paid by the Client for the Session in question.
9.2In no event shall the Firm be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of business, loss of goodwill, or loss of opportunity, arising from or related to the Session or the Client’s reliance on information shared therein outside the scope of a formal engagement.
9.3Nothing in this section shall be construed to exclude or limit any liability that cannot be excluded or limited under Philippine law.
10.1All content on the booking page and within the Legal Clarity Session—including the Firm’s name, logo, brand assets, written opinions, frameworks, roadmaps, templates, presentations, and other materials prepared by the Firm—are the intellectual property of the Firm and are protected under applicable Philippine intellectual property laws. The same protection extends, where applicable, to the brand assets of Legally Clicked and the Family Legacy Maker Academy as part of the Firm’s legal ecosystem.
10.2The Client is granted a limited, non-exclusive, non-transferable license to use such materials solely for the Client’s personal, non-commercial reference in connection with the matter consulted upon.
11.1The Firm reserves the right to modify these Terms at any time. Updated Terms shall be posted on the booking page with a revised “Effective Date.” Bookings made on or after the Effective Date shall be governed by the Terms then in effect.
12.1These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines.
12.2The parties shall first endeavor to settle any dispute arising from or in connection with these Terms through good-faith negotiation. Failing amicable settlement within thirty (30) days, the parties may proceed to mediation under the rules of the Philippine Mediation Center.
12.3Any unresolved dispute shall be submitted to the exclusive jurisdiction of the proper courts of the City of Manila, to the exclusion of all other venues.
13.1If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
13.2These Terms, together with any specific Engagement Agreement the parties may subsequently execute, constitute the entire agreement between the Client and the Firm with respect to the Legal Clarity Session, and supersede all prior or contemporaneous understandings on the subject.
